Acceptance of Terms

These terms and conditions ("Terms") govern the use of the PaidAnswers.com website (the "Website") and all related services (the "Services") and constitute an agreement ("Agreement")between you ("You") and PaidAnswers, Inc. ("PaidAnswers" or "We"). Your use of the Website and Services is contingent upon Your acceptance of and continued adherence to these Terms, as revised from time to time.  PaidAnswers reserves the right, in its sole and absolute discretion, to alter or revise these Terms at any time, with the most recent version of the Terms being posted on the Website.  It is Your responsibility to check for periodic updates to the Terms.  Your use of the Website and Services constitutes Your acceptance of any and all revised Terms.  PaidAnswers reserves the right to suspend or terminate Your account at any time or discontinue Your access to the Website orthe Services for any reason or no reason.

 User Accounts and Permitted Use

A User is a person who creates a PaidAnswers account to use the Services. You must be at least 18 years old to use the Services.  As a User, You may ask and answer questions via the Website.  In order to use the Services, You need to have a valid account.  You are responsible for any and all activities occurring or content that is posted under Your account.  If You discover any unauthorized activity under Your account, please alert PaidAnswers immediately, by sending an email alert to info@PaidAnswers.com.

Prohibited Use

Any content provided by You on the Website (including any questions asked or answered) and Your use of Services shall not

 Discontinuation, Modification or Termination of the Services

PaidAnswers reserves the right to modify ordiscontinue, temporarily or permanently, the Services or any portionthereof, without any liability to You or any third party.  In addition,PaidAnswers, in its sole discretion, may terminate Your password,account or use of or access to the Website or the Services, and removeand delete any questions or answers, at any time, for any reason.

Fees and Refunds

When You ask a question, You shall set theprice that You are willing to pay for a helpful answer.  Inconsideration for the time other Users spend answering your question,You shall be required to make a deposit through the Website (in thefull amount of the consideration You are willing to pay) prior toviewing the requested answers.  Once You accept an answer, refunds arenot available for any reason.  In the event that You are dissatisfiedwith the answers provided by Your fellow Users, You may reject theanswers and Your deposit shall be credited to Your account.  Rejectionof the answers as set forth herein is Your sole remedy in the event Youare dissatisfied.  To learn more about consideration related toanswering User questions, see the Consideration Sharing Policies Pagelocated in the “My Account” section of the Website.

Proprietary Rights of Content

You acknowledge and agree that the Websiteand the Services and any necessary software used in connection with theServices contain proprietary and confidential information that isprotected by applicable intellectual property and other laws. Youfurther acknowledge and agree that content contained in anyadvertisements or information presented to you through the Services orby advertisers is protected by copyrights, trademarks, service marks,patents or other proprietary rights and laws. You may not modify, copy,reproduce, republish, upload, post, transmit, or distribute or createderivative works based on any content or information available throughthe Website or Services, including code and software.  To use thirdparty materials appearing on the Website, You are required to contactthe intellectual property owner and secure the appropriate advancedwritten consent to such use.  You understand and agree that You shallnot acquire ownership rights to any content, document or othermaterials viewed through the Website.  The posting of information ormaterials on the Website does not constitute a waiver of any right inand to such information and materials.

  You agree that any content or informationYou provide on the Website, whether as a question or answer, will notbe considered confidential and may be used by PaidAnswers.  Inaddition, You agree that any materials or ideas You submit on theWebsite or to the Website administrator or any employee, officer oragent of PaidAnswers, will not be considered confidential and may beused by PaidAnswers, in its sole discretion, without any obligation tocompensate You for its use of the ideas and without any obligation toreturn any submitted materials.  You hereby grant PaidAnswers anon-exclusive, worldwide, perpetual, irrevocable, royalty-free,sublicensable (through multiple tiers) right to exercise allintellectual, publicity and database rights, including the right tocreate derivative works thereof, that You have in the content andinformation of Your questions or answers, in any media now known or notcurrently known, with respect to any such content or information.  Youhereby waive all rights to any claim against PaidAnswers for anyalleged or actual infringement of any intellectual rights and proprietyrights in connection with any such content or information.

Links to Third Party Websites

The content of Your question or answer mayinclude links to other sites or resources over which PaidAnswers has nocontrol or responsibility.  PaidAnswers does not monitor, investigateor check these sites for accuracy or completeness.  As a result,PaidAnswers is not responsible for the content or advertising on suchsites, products or other materials which they may provide, such sites'availability or any damages caused or alleged to be caused inconnection with such external websites.  All such external websitesincluded as links in the content of Your questions or answers oraccessed by You via the Website is done at Your own risk and with Yourown liability.

No Professional Advice

The Website serves as merely an onlinevenue for entertainment and communication purposes in an effort toallow Users to ask and answer questions.  Any information You mayobtain from Users through use the Services or the Website comes fromfellow Users, not PaidAnswers.  Information provided via the Servicesor Website is not intended to substitute for informed professionalmedical, psychiatric, psychological, tax, legal, investment,accounting, or other professional advice, and does not in any way,shape or form establish a professional-client relationship (between Youand PaidAnswers or You and the other Users).  PaidAnswers provides noassurance that the User answering Your question has any expertise orqualifications to give such advice.  You acknowledge that PaidAnswershas not, cannot and will not independently verify any Users'qualifications.  If You do not like any answer for any reason, Yoursole remedy is to disregard the answer.

  Furthermore, the Services and the Websiteare not intended to and do not constitute the unauthorized practice ofregulated professional services by PaidAnswers and its affiliates andagents (including law, medicine, accounting or investment advice).  IfYou submit a question or answer on such a topic, We will assume You areinterested in soliciting and receiving or giving general informationrather than professional advice.  You should bear in mind that theapplicability of such general information might vary substantially indifferent states and according to the individual factual circumstancessurrounding a particular question.  Accordingly, if You desire orrequire professional advice, please consult a qualified provider who islicensed in Your state or country.

Emergency Questions

EMERGENCY QUESTIONS AND CRISIS SITUATIONS(particularly regarding medical or mental health) should be directedimmediately by telephone or in-person to qualified professionals.  TheWebsite is not the appropriate venue to deal with emergency or crisissituations.  In addition, We are not involved in and do not participatein the actual conversation between You and other Users.  We do notedit, modify, filter, screen or otherwise monitor the content ofquestions, answers, profiles, qualifications or comments or have anyobligation to monitor such content.  As a result, We have no controlover the quality, safety or legality of the answers given, the truth oraccuracy of the answers and the ability of other Users to answerquestions.  We cannot and do not ensure that You and other Users willactually communicate effectively or appropriately.

Exclusion of Warranties

THE WEBSITE, SERVICES AND RELATEDDOCUMENTATION ARE PROVIDED "AS IS" AND WITHOUT ANY WARRANTY OF ANY KINDEITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIEDWARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.  NOINFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM PAIDANSWERSTHROUGH THIS WEBSITE SHALL CREATE ANY WARRANTY, REPRESENTATION ORGUARANTEE NOT EXPRESSLY STATED IN THESE TERMS.  PAIDANSWERS DOES NOTREPRESENT OR WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED ORERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THIS SITE OR THESERVER THAT MAKES IT AVAILABLE, ARE FREE OF VIRUSES OR OTHER HARMFULCOMPONENTS.  PAIDANSWERS DOES NOT WARRANT OR REPRESENT THAT THE USE ORTHE RESULTS OF THE USE OF THE MATERIALS AVAILABLE THROUGH THE SERVICES,FROM THIRD PARTIES OR A LINKED SITE WILL BE CORRECT, ACCURATE, TIMELY,RELIABLE OR OTHERWISE.  UNDER NO CIRCUMSTANCES WILL PAIDANSWERS  BELIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A USER'S RELIANCE ONINFORMATION OBTAINED THROUGH THE WEBSITE, FROM THIRD PARTIES (SUCH ASOTHER USERS) OR A LINKED SITE, OR USER'S RELIANCE ON ANY PRODUCT ORSERVICE OBTAINED FROM A THIRD PARTY OR A LINKED SITE.

Limitation of Liabilities

IN NO EVENT SHALL PAIDANSWERS, ITS PARENTS,SUBSIDIARIES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS OR ATTORNEY'S OROUR CONTRACTORS AND SUPPLIERS BE LIABLE FOR ANY INDIRECT, SPECIAL,INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS OR LOSS OFBUSINESS) ARISING OUT OF OR IN CONNECTION WITH THE WEBSITE, SERVICES ORTHIS AGREEMENT BASED ON ANY THEORY, EVEN IF ADVISED OF THE POSSIBILITYOF SUCH DAMAGES.  THE NEGATION OF DAMAGES SET FORTH ABOVE AREFUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN PAIDANSWERSAND YOU.  THIS WEBSITE AND THE INFORMATION WOULD NOT BE PROVIDEDWITHOUT SUCH LIMITATIONS.  IN NO EVENT WILL PAIDANSWERS’S LIABILITY,AND THE LIABILITY OF ITS PARENTS, SUBSIDIARIES, OFFICERS, DIRECTORS,EMPLOYEES, AND SUPPLIERS, TO YOU OR ANY THIRD PARTIES IN ANYCIRCUMSTANCE EXCEED $25.

Release, Hold Harmless and Indemnification

You hereby release PaidAnswers (and ourofficers, directors, agents, parents, subsidiaries, joint ventures andemployees) from any and all claims, demands and damages (actual andconsequential) of every kind and nature, known and unknown, suspectedand unsuspected, disclosed and undisclosed, arising out of or in anyway connected with disputes among Users.  If You are a Californiaresident, You waive California Civil Code §1542, which says: "A GENERALRELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW ORSUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE,WHICH IF KNOWN BY HIM MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITHTHE DEBTOR".

  Furthermore, You agree to, indemnify,defend and hold PaidAnswers, any and all parent, subsidiary, oraffiliate organizations, officers, agents, attorneys and employees,harmless from any claim, demand, or damage, including reasonableattorneys' fees, asserted by any third party that are in any way due toor arising out of Your use of the Services or conduct on the Website,Your violation of the Terms of the Agreement, or Your infringement ofany intellectual property right or other right of any person orentity.  PaidAnswers shall provide You reasonable notice of suchclaims.  In connection with Your obligations set forth herein, Youagree that PaidAnswers may identify and engage counsel of its choosing.

No Endorsement of Non-PaidAnswers Entity; No Relationship with Users

PaidAnswers may endeavor to offer to Youproducts and services offered by non- PaidAnswers entities.  Placementof information, logos, links or names of such non- PaidAnswers entitieson the Website does not constitute an endorsement or warranty of theseentities, their products or services.  Users take full responsibilityfor a decision to visit or patronize any such entity and holdPaidAnswers harmless from any liability arising from such actions.  Youfurther acknowledge that no relationship (such as partnership, agent,joint venture or employment) is created between You and PaidAnswers orbetween You and any other Users and PaidAnswers by formation of thisAgreement (or any of the Related Agreements) or by Your participationon the Website.

Disclaimer

You acknowledge that You have read thisTerms of Services carefully.  You acknowledge and understand that: (i)any information You may obtain from Users through use of the Servicescomes from those Users, not from PaidAnswers, and that PaidAnswers isnot in any way responsible for any of the information any Users maysupply; (ii) the Website and Services are provided "as is" with nowarranty and no representations are made regarding the qualification ofUsers who have answered questions; (iii) responses and comments on theWebsite are for general information and are not intended to substitutefor informed regulated professional advice (such as legal, medical,accounting or investment) and do not establish a professional-clientrelationship and do not constitute the unauthorized practice of aregulated profession; (iv) the Website and the Services are notintended or designed to address EMERGENCY QUESTIONS which should bedirected immediately by telephone or in-person to qualifiedprofessionals.

Disputes, Assignment and Governing Law

These Terms and the Agreement constitutethe complete and exclusive statement of the Agreement between You andPaidAnswers.  It supersedes any and all prior or contemporaneousagreement, oral or written, and any other communications,representations, warranties and understanding relating to the subjectmatter of this Agreement.  If there is a conflict between an oralrepresentation of any PaidAnswers employee or agent and the terms ofthis Agreement, the terms of this Agreement will prevail.  To theextent that anything in or associated with the Website is in conflictor inconsistent with this Agreement, the terms of this Agreement willprevail.

  If any provision(s) of these Terms is heldby a court of competent jurisdiction to be contrary to law, then suchprovision(s) shall be construed, as nearly as possible, to reflect theintentions of the parties with the other provisions remaining in fullforce and effect.  You and PaidAnswers agree that any cause of actionarising out of or related to the Services must commence within one (1)year after the cause of action arose; otherwise, such cause of actionis permanently barred.  You may not assign this Agreement to any otherparty.  PaidAnswers shall not be deemed to have waived any of ourrights or remedies unless such waiver is in writing and signed byPaidAnswers.  No delay or omission on the part of PaidAnswers inexercising any rights or remedies shall operate as a waiver of suchrights or remedies or any other rights or remedies on futureoccasions.  The section titles in these Terms are solely used for theconvenience of the parties and have no legal or contractualsignificance.

  This Agreement shall be governed by, andconstrued in accordance with the laws of the State of Colorado, withoutregard to its conflicts of law provisions.  Each party using ourWebsite or Services agrees to the exclusive jurisdiction of the courtsof the State of Colorado, and agrees that venue for any actionresulting from this Agreement or the use of our Services shall be inDenver County, Colorado and waives any and all jurisdictional, venue orinconvenient forum objections.
